Members of the merger arbitrage group advise "Wall Street" clients regarding the legal, regulatory and legislative risks associated with proposed corporate mergers and acquisitions. More broadly, we assist clients in evaluating the antitrust, corporate and other risks associated with consensual and non-consensual corporate mergers and acquisitions, both domestic and foreign, in virtually all industries, including insurance and banking, telecommunications, energy, utilities, defense, pharmaceuticals, hospitals and medical care, industrial products, transportation, computer hardware and software, and consumer products.

A principle focus of our practice is to assist clients in assessing the competitive implications of proposed mergers and acquisitions under domestic and foreign antitrust statutes including the Clayton Act, Hart-Scott-Rodino Amendments (HSR), state antitrust statutes, European Commission and member state standards, and other foreign governmental approvals. Our practice group’s attorneys over 45 years of combined antitrust experience in the Federal Trade Commission, Antitrust Division of the U.S. Department of Justice, and private practice, gives us an intimate understanding of domestic and foreign competition laws including a detailed familiarity with the workings of antitrust enforcement agencies. This depth of knowledge and experience has led The Washington Post to recognize one of our attorneys as among the "most prominent" practitioners in the field.

We also assist clients in assessing the transactional risks associated with other state and federal regulatory schemes including the Federal Communications Act, the Exon-Florio Act (CFIUS), the Foreign Corrupt Practices Act (FCPA), state and federal banking and insurance laws, federal healthcare statutes, and the Bankruptcy Act. We further advise clients with respect to Delaware and other state corporate laws issues germane to mergers, tender offers, and proxy contests.
